Terms of Service

1. What the service is

RobyContracts is a tool that helps you draft, renew, manage and bring to signature lease contracts. It extracts data from documents you upload, fills templates you provide, computes values from public indices, and generates Word and PDF files.

RobyContracts is NOT a law firm and does not provide legal advice. The documents it generates are drafts based on YOUR templates and YOUR data. Reviewing the contract legally, and deciding to sign it, is on you.

2. Your account

You are responsible for activity on your account and for keeping your password secret. Tell us immediately if you believe someone else got in.

You must have legal capacity to contract and must use the service in compliance with Ecuadorian law.

3. Your content

The contracts, templates and data you upload remain yours. You grant us only the technical licence needed to process them and provide the service: store them, extract their data, generate the documents and send them to you.

We do not use your content to train artificial intelligence models, ours or third parties’, and we do not share it with anyone except the providers required to deliver the service (see the DPA).

You confirm you have the right to upload what you upload, including any third-party personal data appearing in your contracts.

4. Electronic signature

RobyContracts does NOT sign for you and does not receive your electronic signature certificate (.p12) or its password. The service generates the unsigned PDF; you sign it on your own machine with your own signing software and upload the signed PDF.

The validity, currency and custody of your certificate are your responsibility. RobyContracts stores the signed PDF you upload, but does not verify the certificate’s standing with the certifying authority and does not certify the authenticity of the signature.

5. Pricing and payment

You are charged per contract CREATED OR RENEWED. Storing contracts, downloading them again, and receiving expiry alerts is free.

The first contract is free, once per account.

Plan credits you do not use roll over. If you cancel, banked credits remain usable for 6 months; after that they lapse.

Prices are in US dollars and exclude taxes, which are added where applicable. We may change prices on at least 30 days’ notice; a change does not affect a period already paid for.

6. Acceptable use

You may not use RobyContracts to:

• Upload documents you have no rights to.
• Attempt to access another account’s data, or circumvent service limits.
• Unlawful activity, including the kind UAFE regulation exists to prevent.
• Resell the service, or resell it repackaged, without our written agreement.
• Upload malicious code or deliberately overload the infrastructure.

7. Availability

We work to keep the service available, but we do not guarantee it will be free of interruptions. We may perform maintenance and make changes.

Your documents are yours and you can download them at any time. We recommend keeping your own copies of signed contracts.

8. Limitation of liability

The service is provided "as is". To the extent the law allows, our total liability to you is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

We are not liable for lost profits, lost business, or for the legal or economic effects of the content of the contracts you generate: that content is defined by your template and your data.

9. Termination

You may close your account whenever you like. We may suspend it if you breach these terms, with notice unless the law or the seriousness of the case prevents it.

On closing your account you may download your documents. After the grace period, we delete them in line with the Privacy Policy.

10. Governing law

These terms are governed by the law of the Republic of Ecuador. Any dispute will be submitted to the competent courts of [CITY], unless the law provides otherwise.

11. Changes

If we change these terms materially, we will tell you by email or in the app before they take effect.
